Terms of Service

Owner: MarketPadHQ is a product of MarketPadHQ Corp., operating out of Toronto, Ontario, Canada.

1. Acceptance of Terms

By using MarketPadHQ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Continued use constitutes acceptance of any future updates to these Terms.

2. Description of Service

MarketPadHQ provides enterprise marketing automation software, including lead scoring, email sequencing, contact management, attribution tracking, and related tools.

3. User Accounts

  • You must provide accurate and truthful information when creating an account.
  • You are responsible for maintaining the security of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Free Trial & Subscription

  • The Service offers a 7-day free trial.
  • The trial begins immediately upon account creation. You are not required to provide payment information to start the trial.
  • At the end of the trial your account converts to a paid subscription. If a payment method is on file, it will be charged the subscription fee of $2,499.99 USD/month. If no payment method is on file, access to the Service stops until one is added.
  • You are responsible for cancelling before the trial ends if you do not wish to be charged.
  • Subscriptions auto-renew monthly until cancelled.
  • You can cancel at any time through your account dashboard.

5. Cancellation & Refunds

  • You may cancel your subscription at any time.
  • Cancellations take effect at the end of the current billing period.
  • Once the 7-day trial has ended and your account has converted to a paid subscription, all charges are final and non-refundable. No refunds are issued for partial months or unused time.
  • If you cancel during the trial, you will not be charged.
  • Refunds may be issued in the exceptional circumstances set out in our Refund Policy — duplicate or erroneous charges, extended service unavailability caused by us, or where applicable law requires one. All requests are reviewed individually at our sole discretion.
  • You agree to contact us before initiating any chargeback. A chargeback filed without contacting us first results in immediate account suspension pending investigation and a $50 administrative fee.

6. Payment & Billing

  • All fees are in USD and are non-refundable unless otherwise stated.
  • You authorize us to charge your card for recurring subscription fees.
  • If payment fails, we may suspend or terminate your access to the Service.
  • You are responsible for any taxes, fees, or charges associated with your use of the Service.

7. Intellectual Property & Copyright

  • All software, source code, design, branding, content, and intellectual property associated with MarketPadHQ is the exclusive property of MarketPadHQ Corp., based in Toronto, Ontario, Canada.
  • You are granted a limited, non-exclusive, revocable license to use the Service for your internal business purposes.
  • You may NOT:
    • Copy, reproduce, or duplicate any part of the Service.
    • Reverse-engineer, decompile, or disassemble the software.
    • Download, scrape, or extract any code, database structure, or proprietary system.
    • Create derivative works based on the Service.
    • Resell, rent, lease, or sublicense the Service to any third party.
  • Any attempt to do so is a violation of these Terms and will result in immediate termination and potential legal action.
  • The name "MarketPadHQ" and all associated logos, graphics, and designs are trademarks of MarketPadHQ Corp.

8. Data Ownership & Export

  • You own your data — you may export it at any time.
  • Export is provided in a standard format; compatibility with third-party platforms is not guaranteed.
  • We are not responsible for data loss caused by your failure to export or back up your data.
  • Upon termination, we may delete your data after a reasonable period, unless otherwise required by law.

9. Confidentiality & Non-Disclosure

  • You agree not to disclose, share, or use any confidential information about the Service's features, performance, pricing, or internal architecture for any purpose outside your authorized use.
  • This includes sharing information with competitors, media, or the public without prior written consent.

10. Acceptable Use

You agree not to:

  • Use the Service for any illegal activity.
  • Interfere with the security, performance, or availability of the Service.
  • Share your account credentials with unauthorized users.
  • Attempt to bypass the trial, billing, or subscription systems.
  • Use the Service to send spam, malicious content, or unsolicited communications.
  • Upload or transmit any harmful code, viruses, or malware.

11. Limitation of Liability

  • The Service is provided "as is" and "as available" without warranty of any kind.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages.
  • We are not responsible for any loss of revenue, profits, data, or business opportunities.
  • Our total liability to you shall not exceed the total amount you paid in the previous 12 months.
  • This limitation applies to all claims, whether based on contract, tort, negligence, or otherwise.

12. Indemnification

You agree to indemnify and hold harmless MarketPadHQ Corp., its affiliates, employees, and partners from any claims, damages, losses, or expenses arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your infringement of any third-party rights.
  • Any dispute between you and your customers or users.

13. No Warranty

  • We do not guarantee that the Service will be error-free, uninterrupted, or secure.
  • We do not guarantee that the Service will meet your specific business outcomes.
  • We are not responsible for any downtime, data loss, or third-party failures.

14. Termination

  • We reserve the right to suspend or terminate your account immediately if you violate these Terms.
  • You may terminate your account at any time by cancelling your subscription.
  • Upon termination, your access to the Service will be removed, and your data may be deleted after a reasonable period.

15. Force Majeure

We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, war, strikes, power outages, or internet disruptions.

16. Dispute Resolution & Governing Law

  • These Terms are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable therein.
  • Any dispute arising from these Terms shall be resolved through binding arbitration in Toronto, Ontario, Canada, unless otherwise required by law.
  • Both parties agree to attempt to resolve disputes informally before initiating arbitration or legal proceedings.
  • You waive the right to participate in any class-action lawsuit against us.

17. Changes to Terms

We may update these Terms at any time. If we do, we will notify you via email or through the Service. Your continued use after changes are posted constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and MarketPadHQ and supersede any prior agreements, communications, or understandings.

20. Data Processing

Where we process personal data on your behalf, that processing is governed by our Data Processing Agreement, which forms part of these Terms and sets out our respective obligations under the GDPR, the CCPA and comparable data protection laws.
